Resumo

Os fundos de Private Equity - PE e Venture Capital – VC são reconhecidos como uma alternativa para financiar investimento em Empresas de Base Tecnológica – EBT. Esses fundos tornam-se acionistas das EBT’s, porém, devido a algumas particularidades dessa modalidade de investimento, a relação entre agente e principal é diferente dos investimentos tradicionais. A partir deste contexto, esta pesquisa se propõe a investigar de que forma a Teoria da Agência se manifesta na relação entre os fundos PE e VC e as empresas financiadas, através de pesquisa bibliográfica e análise documental. A revisão da literatura sobre PE, VC, EBT e Teoria da Agência indica que a modalidade de investimento de capital de risco apresenta uma dinâmica que faz com que os fundos de PE e VC exerçam ao mesmo tempo a função de Principal e de Agente. A perspectiva múltipla dos fundos demonstra a relevância de sua atuação tanto do ponto de vista do investidor, como opção de investimento com possibilidade de maiores retornos, quanto do ponto de vista do empreendedor, representando opção de financiamento e de profissionalização da gestão do negócio, além de se constituir um complemento aos esforços governamentais para fomentar o desenvolvimento tecnológico nos países.

AGENCY THEORY IN THE FINANCING OF TECHNOLOGY-BASED COMPANIES

Private Equity Funds - PE and Venture Capital - VC are recognized as an alternative to finance investment in technology-based companies - EBT. These funds become shareholders of the EBT's, but due to some peculiarities of this type of investment, the relationship between agent and principal is different from traditional investments. From this context, this research aims to investigate how the Agency Theory is manifested in the relationship between PE and VC funds and funded companies through literature search and document analysis. The literature review on PE, VC, EBT and Agency Theory indicates that this type of investment presents a dynamic that makes the PE and VC funds while exercising the function of Principal and Agent. The multiple prospect of the funds demonstrates the importance of their action both from the standpoint of the investor, as an investment option with the possibility of higher returns, as the entrepreneur's point of view, representing financing option and professionalization of business management, and to be a complement to government efforts to foster technological development in countries.
